Constitution

1. NAME

The Club shall be called the Panaga Golf Club (hereinafter called the Golf Club). The Panaga Golf Club is formally constituted as a Section of the Panaga Club.

2. OBJECT

The Golf Club is formed to encourage and foster the game of golf.

3. JURISDICTION

These rules are subordinate to the Panaga Club Constitution and Rules and in the event of any conflict between these rules and the Panaga Club Constitution and Rules, the Panaga Club Constitution and Rules shall prevail.

4. CONTROL

The Golf Club being a Section of the Panaga Club whose buildings and main facilities are property of Brunei Shell Petroleum Company Sendirian Berhad (hereinafter called 'the Company') which supplies certain services and utilities to the Golf Club, the Company reserves the right at any time to veto any proposed activities and/or resolutions of the Golf Club which are considered by the Company to be not in accordance with its policies.

5. MEMBERSHIP

(a) All members of the Panaga Club are entitled to exercise and enjoy the same rights and privileges as members of the Golf Club as they may exercise and enjoy as members of the Panaga Club. However, they shall first apply in writing to the Honorary Secretary for registration as golfing members if it is their intention to use the golf course or practice putting greens.
(b) Temporary, Family, Junior, Retired, Reciprocal and Block members who are holders of valid Panaga Club Membership cards shall also be required to register as golfing members under clause 5 (a) above, before being allowed to use the golf course or practice putting greens.
(c) The Honorary Secretary shall enter in the Register of Golfing Members, the names of all those entitled to register and who have been accepted by the Committee. Applicants whose registration has been rejected or withdrawn shall be so informed, and the Secretary of the Panaga Club advised immediately.
(d) The Honorary Secretary may give permission for an applicant for registration to use the Golf Course and practice putting greens until such time as the application has been accepted or rejected by the Committee, only if he is satisfied that the applicant is a practiced golfer.
(e) A member may have his name removed from the Register of Members at any time by notification in writing to Honorary Secretary and there upon he shall cease to be a golfing member.
(f) Neither the removal nor suspension of a golfing member shall relieve such member from the payment of any subscription or other money due or payable by him to the Golf Club, and no member shall be entitled to, or have any claim upon, any portion whatsoever of the property of the Golf Club.

6. COMPETITION

(a) The following categories of Member shall be eligible to play in competitions and qualify for prizes, provided in all cases that they are registered Members of the Golf Club and have a valid handicap:-
(i) Full Members of the Panaga Club
(ii) Associated and Country Members of the Panaga Club
(iii) Honorary and Retired Members of the Panaga Club
(iv) Block Members of the Panaga Club
(v) Members of Clubs and Organisations from within Negara Brunei Darussalam which enjoy reciprocal rights with the Panaga Club and/or the Golf Club
(vi) Family Members, defined as wives or husbands of all members of Panaga Club, and members' children up to age 22, who are not in full-time employment
(vii) Children of members, of whatever age, provided they are not normally resident in Negara Brunei Darussalam and are not gainfully employed i.e. are dependent on their parent, fully or partially
(viii) Visiting Shell employees and accompanying wives or husbands
(b) Members of Clubs or Organisations from outside Negara Brunei Darussalam which have reciprocal right with the Panaga Club and / or the Golf Club and other members not specified in Clause 6 (a) above, may not officially enter competitions, except with the special approval of the Committee (e.g. for Open Competitions). However, they may play as 'markers' with others, who are competing provided prior arrangements are made with the Honorary Competition Secretary.
(c) Notwithstanding the definition of eligibility to play in competitions and qualify for prizes as set out in Clause 6 (a) above only those categories mentioned under sub-sections (i), (ii), (iii) and (iv) of the same Clause shall be eligible to compete in the Men's Club Championship: only family members, define I as wives of registered members of Panaga Golf Club who are registered in their own right including children who are normally resident with their parents in Brunei, shall be eligible to compete in the Ladies' Club Championship.

7. GREEN FEES (Held in Abeyance)

Green fees will be payable, at rates to be fixed from time to time by the Committee, by any person using the golf course, unless they either come under the definition as set out in Clause 6 (a) above, or unless the Committee specifically grants exemption at its own discretion.

8. COMMITTEE

(a) The business and activities of the Golf Club shall be managed by a Committee (in these rules called 'the Committee'). Such business and activities shall not be in contradiction to the Panaga Club Constitution and Rules.
(b) The committee shall consist of the Captain, Vice Captain, Lady Captain, Honorary Secretary, Honorary Competition Secretary, Honorary Handicap Secretary, Honorary Treasurer, Honorary Groundsman, House Member, Friday Member and Lady Member. In the event of the Captain being absent due to leave, sickness or other reason the Vice Captain shall automatically takeover the position of Captain for the duration of his absence.
If a substitute is required for the Vice Captain in his capacity as Captain due to leave sickness or other reason a replacement will be nominated by the Captain in consultation with the Committee Members.
The Captain shall be either the Company's Managing Director or a nominee of the Company's Managing Director.
The Vice Captain shall also be either the Company's Managing Director (if he is not the Captain) or a nominee of the Company's Managing Director.
The Hon Treasurer shall also be either the Company's Finance Director or a nominee of the Company's Managing Director.
The other members of the Committee shall be elected at the Annual General Meeting.
(c) In addition to the above Committee, six ladies will be selected to assist the Lady Captain and the Lady Member to run the day-to-day affairs of the Ladies golfing activities. The Ladies so selected will not sit on the Committee except as nominated replacement of the Lady Captain or Lady Member.
(d) Only Registered Members of the Golf Club, including spouses of such Members of the Golf Club, if registered in their own right, and provided they are normally resident in Brunei shall be entitled to vote for General Meetings of the Golf Club, and shall be entitled to propose, second and vote for all motions and for election of officials of the Golf Club.
However, a majority of the members of the Club and Registered Members in their own right.
The Captain or his nominee shall be the representative of the Golf Club on the Management Committee of Panaga Club.
(e) No Member of the Golf Club shall be proposed for election to the Committee of the Golf Club unless he has signified his willingness to accept office if elected, and has been nominated and seconded in writing by two registered members of the Golf Club not less than seven days before the Annual General Meeting.
(f) In the event of the number of Members proposed not exceeding the number of vacancies, these Members shall be declared duly elected. In the event of the number of Members proposed exceeding the number of vacancies a secret ballot shall be held. In the event of the number of members proposed being less than the number of vacancies, the Committee shall complete its number of members by co-option, but may not thereby circumvent the requirement that a majority of the Committee be Full Members of Panaga Club.
(g) Vacancies occurring in the Committee throughout the year may be filled by co-option. {Refer to 8 (b)}
(h) The Committee shall be charged with the general control over and supervision of the interest of such duties as may be entrusted to it by resolution of a General Meeting of the Golf Club.
(i) The Committee shall make a report annually on the affairs and finances of the Golf Club at the Annually General Meeting in October of each year. The Committee shall consider the annual estimates of expenditure before the beginning of the financial year.
(j) The Honorary Secretary shall keep a Register of Members.
(k) The Committee shall immediately after each Annual General Meeting nominate from its Member a person to serve as Golf Club Representative on the Management of Panaga Club.

9. CONDUCT OF MEMBERS

(a) Should any complaint in writing be received within 48 hours of the incident by the Committee as to a breach of rules or conduct by a Member, the complaint shall be investigated and dealt with at the discretion of the Committee, who shall have the power to suspend the registration of the offending Member for a period to be decided by them. Members against whom complaints have been made shall be given an opportunity of submitting an explanation to the Committee.
(b) A Committee Member shall have the right to request any person to leave the Golf Club house and Golf Course for any breach of these rules or for conduct which in his opinion is detrimental to the good of the Golf Club.
All cases of the use of this power shall be reported to the Honorary Secretary and the Secretary of the Panaga Club at once and shall be treated as a complaint under paragraph (a) of this Clause and the Committee shall have power to deal with it as such.

10. GENERAL MEETINGS

(a) The Annual General Meeting of the Golf Club shall be held once a year, normally prior to the Panaga Club's AGM. Notice of such meeting shall be sent to each member at least twenty one days in advance.
(b) A quorum at any General Meeting shall be 10% of Registered Members normally resident in the Kuala Belait/Seria area. However, no quorum may be declared at a General Meeting unless a majority of those present are Full Members of Panaga Club. If within half an hour of the appointment time a quorum is not present, the meeting shall stand adjourned to the following week at the same day, time and place, or at such other day, time and place, or at such as the Captain or his nominee may declare by notice place on the Club notice board not later than 24 hours after the date of the first abortive meeting.
If at the adjourned meeting a quorum is not present, those Members having the right to vote who at present shall constitute a quorum and may transact the business for which the meeting was called, provided majorities are Full Members of Panaga Club.
(c) None of the rules defined herein shall be altered or rescinded and no new rule shall be made except at a General Meeting and subject to the approval of the Management Committee of the Panaga Club.
(d) Notice of any motion or resolution should be given in writing to the Honorary Secretary not less than twelve days before the General Meetings, signed by the proposer and seconder and amendments there to may be put by Members at the Meeting.
(e) Only Registered Members of the Golf Club shall be entitled to vote at General Meetings. Resolutions shall be effective if agreed by a majority of the Members present and voting. In the case of an equality of votes, the Chairman shall have a second or casting vote.
(f) The Captain or his Nominee shall preside at all General Meetings.
(g) At any General Meeting, a resolution put to the vote shall be decided on a show of hands unless a poll is demanded by at least three Members.
(h) Notwithstanding anything in this Clause, the Committee is empowered to make any rules, pertaining to the game of golf, as authorized in the Rules of Golf.
(i) Members entitled to vote but unable to attend any General Meeting either through sickness, duty, or short absence from the area, whilst still retaining registered membership but for no other reason, may record their votes by proxy by application in person at the Panaga Club Secretary's office at least 72 hours prior to the General Meeting. The Captain's decision as to what constitutes duty or short absence from the area shall be final.
(j) An Extraordinary General Meeting may be called by the Committee or shall be called on a written request signed by any ten Members. Notice of such meeting shall be sent to every Member at least fourteen days in advance. The Notice shall specify the resolution to be proposed at the meeting. The discussion at such a meeting shall be strictly confident to the resolution and the amendments thereon.
(k) The rules for a quorum shall be as for a General Meeting as defined in Clause 10 (b) above.
(l) A resolution shall be valid if it is agreed by a majority of the Members present and voting.
(m) The Honorary Secretary shall prepare Minutes of all General Meetings, and Committee Meetings, and copies of all such Minutes shall be kept by him. The Honorary Secretary shall send to the Secretary of Panaga Club, Minutes of all General Meetings and Committee Meetings.

11. FINANCE (Vide Rule 16 on Page 15 of Panaga Club's Constitution and Rules)

(a) Assets and finances allocated by the Management Committee of the Panaga Club to the Golf Club shall be controlled by the Committee.
(b) The Honorary Treasurer shall be responsible to the Committee for the Administration of funds and accounts.

12. BYELAWS

i.e. all Local Rules and General Regulations other than the Rules of the Club set out herein and the Rules of Golf as defined by the Royal and Ancient Golf Club of St. Andrews.
The Committee are empowered to make, repeal and amend such byelaws as they from time to time consider necessary for well being of the Golf Club, which byelaws, repeals and amendments shall have effect till otherwise determined by the Committee or a General Meeting.

13. RULES OF GOLF

The rules of the game of golf as adopted from time to time by the Royal and Ancient Golf Club of St. Andrews, except in so far as they are modified by byelaws of the Golf Club, shall be played.

14. COMPLAINTS AND SUGGESTIONS

Complaints shall be made in writing to the Honorary Secretary within 48 hours of the incident, who shall submit them to the Committee whose decision shall be final. Suggestions regarding the general administration of the Golf Club or its facilities should be entered in a Suggestion Book, which shall be read and the suggestion answered by the Committee at least once per month.

15. POSTING OF NOTICE

No notice of any kind may be placed on the Golf Club notice board except on the authority of a member of the Committee.

16. MEMBERS BOUND BY RULES

Every Member shall be bound by and submit to the rules and byelaws of the Golf Club.
